Terms of Service

These terms set baseline conditions for access to and use of LedgerCapture. If your organisation has a signed customer agreement, order form, or data processing addendum, that signed document takes priority where it is stricter or more specific.

1. Service scope

LedgerCapture is a construction evidence and workflow platform. It supports capture, review, controlled approvals, and commercial audit workflows across authorised teams.

2. Service status

Some controls, integrations, and operational processes may be delivered in staged increments. Nothing in these terms should be interpreted as a claim that deferred controls are already complete.

3. Accounts and access

  • Access is granted through approved organisation setup and invitation workflows.
  • You must use accurate identity information and keep account credentials secure.
  • You must not share internal named-user accounts.
  • Access may be suspended or revoked where security, tenancy, legal, or contractual obligations require it.

4. Acceptable use

You must not use the service to:

  • Break the law or breach contractual duties.
  • Submit deliberately false, forged, or misleading records.
  • Bypass access controls or attempt unauthorised tenant access.
  • Interfere with service availability or security.

5. Data and evidence responsibilities

  • You retain ownership of customer content you submit.
  • You grant us a limited licence to process that content for service delivery, security, support, and contractual obligations.
  • You are responsible for the lawfulness and accuracy of submitted content.
  • Evidence and audit records are intended to improve traceability but do not guarantee any payment, claim, adjudication, or litigation outcome.

6. Integrations and third parties

The service may connect to third-party systems. We are not responsible for third-party service outages, terms, or policy changes outside our control.

7. Package purchase terms

LedgerCapture uses a package-based commercial model. Where checkout is available, payment and package changes must be completed by an organisation owner and confirmed by the payment provider before paid workspace access starts or changes.

By selecting a package and completing payment at checkout, you confirm acceptance of these Terms of Service for that package purchase and any related recurring charges until the package is changed or cancelled under the applicable package terms.

Receipts, invoices, invoice PDFs, payment methods, and routine recurring-payment handling are provided through the payment provider where Stripe billing is active for the organisation. If a payment cannot be completed, workspace access may be paused until the package is active again.

8. Availability and changes

We aim for reliable operation, but the service is provided on an as-available basis. We may change features, routes, and integrations as part of security, legal, operational, or product updates.

9. Suspension and termination

We may suspend or terminate access where terms are breached, legal obligations require action, security incidents occur, or customer agreements end.

10. Liability and disclaimers

To the maximum extent permitted by law, indirect or consequential losses are excluded. Nothing in this section excludes liability that cannot lawfully be excluded.

The service and related materials do not constitute legal, tax, or accounting advice. Customers remain responsible for professional advice and contractual decisions.

11. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction unless a signed agreement states otherwise.
